Noerr advises Gegenbauer on merger with Apleona

A Noerr team led by Katrin Andrä, Tibor Fedke and Christian Pleister advised Gegenbauer Holding SE & Co. KG and its partners on the merger with Apleona, a leading European real-property services provider and facility manager based in Neu-Isenburg near Frankfurt am Main.

The merger will create an integrated  real property services company with over 40,000 employees throughout Europe, 28,000 of them in Germany, and annual turnover of around €3.5 billion. Around 18,000 employees come from the Gegenbauer Group.

As part of the transaction, the former shareholders of Gegenbauer will become shareholders of Apleona. The private equity company PAI Partners will remain the majority shareholder in Apleona after the merger.

The transaction is still subject to clearance by the authorities.
