Noerr advises Deutsche Telekom in connection with the sale of tower division and on infrastructure modernisation

With a team led by our partners Jens Liese, Tobias Frevert and Tobias Bosch, our firm has represented Deutsche Telekom AG in connection with the sale of a 51% stake in its mobile telecommunications tower business and a contract for modernising its telecommunications infrastructure.

The sale to Digital Bridge and Brookfield on 1 February 2023 also involved a framework agreement with long-term provisions to safeguard Telekom Deutschland GmbH’s unrestricted access to the tower business’ passive infrastructure.

Telekom Deutschland GmbH has also concluded a network modernisation contract with DFMG Deutsche Funkturm GmbH. Our firm provided Telekom with wide-ranging support and advice on this contract, valued at a significant three-figure million euro amount, as it had on the framework agreement and its finalisation in preparation for the closing of the sale. When the sale closed, both contracts entered into effect.

The contract governs the modernisation of the telecommunications infrastructure of over 33,000 towers and communication sites to prepare Deutsche Telekom’s mobile telecommunications network for fifth-generation (5G) mobile telecommunications. Transmission via 5G technology is 100 times faster than LTE transmission and makes it possible to send large amounts of data in real time with maximum reliability. This enables 5G to form the basis for the automation of complex production processes via m2m communication, developments such as autonomous driving and applications such as e-health, making 5G a vital component of digitalisation.
