Noerr advises Chinese investor Westron Group on acquisition of majority interest in Allgaier Werke GmbH
With a team led by our Frankfurt partner Till Kosche, Noerr has advised the Chinese Westron Group on the complex acquisition of a majority interest in Allgaier Werke GmbH. With this transaction, the Hundt family of shareholders and Allgaier Werke GmbH are transferring 88.9 percent of their shares to the Westron Group. In connection with the transaction, the Westron Group contributed additional equity to Allgaier Werke GmbH, thus strengthening the financial stability of the Allgaier Group.
The common goal of Westron and Allgaier is to strengthen and expand the automotive division, including toolmaking, and the process technology division with its various subsidiaries and locations worldwide. The automotive division will be even more strongly aligned to customer needs in today’s globalised world, while the process technology division will expand its worldwide sales network and broaden its product range and customer base, especially in the environmental and recycling sectors.
Westron is a Shanghai-based industrial group that invests in companies offering advanced solutions in the automotive and technology sectors. Its investment strategy focuses on reducing emissions, improving safety and intelligent vehicle technologies.
Allgaier, which was founded in 1906 and has its headquarters in Uhingen, Baden-Wuerttemberg near Stuttgart, has developed from a pioneer in forming and processing technology into an international key player in the two core business areas of Allgaier Automotive and Allgaier Process Technology. With 1,700 employees, 12 companies and various representative offices worldwide, the group is present both in the industrialized countries and in the emerging international growth markets.
The transaction was examined and approved by the Federal Ministry of Economics and Climate Protection in February 2022.
