Noerr advises Cemex on acquisition in Berlin

A Noerr team led by Christoph Spiering has advised the international construction materials group Cemex on the acquisition of a majority stake in RC-Baustoffe Berlin GmbH & Co. KG. The acquisition is part of Cemex Group’s ongoing efforts to grow its circularity business. The acquired Berlin-based recycling company is part of HEIM Group from Ulm and processes mineral construction, demolition and excavation materials.

The recycling plant pertaining to RC-Baustoffe processes up to 400,000 tons of materials per year which are converted into repurposed aggregates for concrete production and then reintroduced into the construction industry’s value chain. In addition to its recycling capacity, RC-Baustoffe Berlin operates the first plant for the permanent storage of biogenic CO₂ in recycled mineral waste in Germany.

Cemex is a global construction materials company with turnover of approximately USD 17.4 billion in the most recent financial year. The group operates in the cement, ready mixed concrete, mineral raw materials and urbanisation solutions sectors.

Antitrust clearance has already been granted and closing of the transaction has occurred.

Noerr advises Cemex on a regular basis on transactions in Germany. Recently, teams led by Hamburg partner Christoph Spiering advised Cemex Group on the acquisition of a majority stake in the eastern German hard stone company ProStein (2022) and on the takeover of the Esslingen-based construction chemicals specialist Kiesel (2023).
