Noerr advises AURELIUS on simultaneous acquisition of dental distributors dental bauer and Pluradent

With a team led by partners Marlies Raschke and Dominik Rompza, Noerr has advised AURELIUS on its simultaneous acquisition of the two international dental distributors dental bauer and Pluradent. Pluradent is being acquired while under debtor-in-possession management.

The two transactions are being carried out in close partnership with the Linneweh family, who have been very successful in building up dental bauer over the past decades. The Linneweh family will be reinvesting in the newly created market player and will stay on board as its management team. The aim is to work together with AURELIUS to drive forward the integration of the two companies and to evolve them to become a leading European dental distribution platform with more than €300 million in revenues.

AURELIUS will continue the existing business model of both companies as a dental distributor offering a full range of products and all related service parameters (materials, supplies and technical services) and further develop the newly formed group as a platform in the dental distribution market by engaging in buy-and-build activities.

The AURELIUS Group has activities across Europe and offices in London, Luxembourg, Munich, Amsterdam, Stockholm, Madrid, Milan and Dusseldorf. Aurelius has comprehensive operative capabilities and experiences and is therefore in a position to accelerate the value creation process of its portfolio companies.

dental bauer is a leading dental depot in the German-speaking countries and the Netherlands. Founded in 1947, the family-owned company distributes consumables, capital equipment and devices, and provides technical and consulting services for dental practices and laboratories.

Pluradent, which is headquartered in Offenbach am Main, is a renowned German dental distributor that supplies dental facilities with consumables, equipment and devices as well as technical services. The group operates foreign subsidiaries and has its own distribution centre in Kassel, Germany.

AURELIUS again relied on Noerr for this transaction, which covered numerous jurisdictions. Closing of the transaction is subject to clearance by the competent competition authorities.
