Noerr advises CEMEX on strategic acquisition in Germany

A Noerr team led by Christoph Spiering has been advising the Mexican construction materials group CEMEX on the acquisition of KIESEL Bauchemie GmbH & Co KG. Kiesel is a technology leader as regards mortars and adhesives in the construction industry. These special construction materials are especially important in building renovation because they improve the energy efficiency of the built environment.

The products of Kiesel, which is based in Esslingen near Stuttgart, are available in Germany, France, Poland and the Czech Republic. The acquisition of Kiesel is part of CEMEX’s strategy for strengthening its Urbanization Solutions division through bolt-on acquisitions. CEMEX is one of the largest construction materials manufacturers in the world. In 2022, its turnover was approximately 15.6 billion dollars. The company's business areas include cement, ready-mixed concrete and mineral raw materials.

Closing of the transaction has already been cleared by the competition authorities.

For many years, Noerr has been regularly advising CEMEX on transactions in the European market. Most recently, it advised CEMEX on the purchase of an interest in the ProStein Group in eastern Germany, the sale of CEMEX’ Baltic and Nordic operations to the SCHWENK Group and the sale of its mineral raw materials and ready-mixed concrete business units in northern and north-western Germany to the Papenburg Group.
