Noerr advises Cadre Holdings on a takeover in the nuclear sector

With a team led by Georg Chr. Schneider and Markus A. Braun, Noerr has advised Cadre Holdings, Inc. ("Cadre") together with the US law firm Ropes & Gray (lead) on the acquisition of subsidiaries of Carr's Group plc. in the nuclear sector. The transaction comprises the specialised "Engineering Division" with Carr's Engineering Limited (excluding Chirton Engineering) and Carr's Engineering (US), Inc. The transaction volume is around £75 million.

Cadre is a leading global manufacturer of safety equipment and related products for the law enforcement, first responder, military and nuclear markets. The Engineering Division is comprised of industry-leading brands including Wälischmiller, CarrsMSM, Bendalls Engineering, NW Total Engineered Solutions, and NuVision Engineering. With sites in the United Kingdom, Germany and the United States, it designs, manufactures and services equipment, vessels, precision components and remote handling systems for nuclear end-markets. The brands within the Engineering Division are highly complementary to Cadre’s nuclear safety business and, upon closing, will both expand its presence in international markets and provide entry into new product categories within the nuclear market segment.

Noerr advised on the transaction as local counsel in cooperation with Ropes & Gray (lead), including German foreign trade law. The transaction is anticipated to close in the first half of 2025, subject to the satisfaction of customary closing conditions.
