Noerr advises Japan Pulp & Paper Group on acquisition of Inapa Group
A team from Noerr under the remit of Till Kosche, Thomas Schulz and Dominique Janine Finke has advised Japan Pulp & Paper Group on the acquisition of the insolvent Inapa Group. The listed Japanese cellulose and paper specialist is taking over the insolvent company group by way of corporate restructuring involving the transfer of the target’s assets.
The transaction covers Inapa Deutschland GmbH and its subsidiaries Inapa ComPlott GmbH and Inapa Packaging GmbH. Inapa, headquartered in Hamburg, is a leading European service provider for paper, packaging, large format printing and logistics with 16 sites in Germany. Its customers include global players and likewise medium-sized companies, design agencies and family-run printing businesses.
The Noerr team handled the transaction together with the Japanese law firm Mori Hamada & Matsumoto (MHM).
Closing of the transaction is subject to regulatory approvals. These include in particular clearance from the European Commission in connection with an FSR (Foreign Subsidies Regulation) review regarding foreign subsidies.
