Noerr Advises Building Materials Group CEMEX on a Further Transaction
Noerr has once again advised the Mexican building materials group CEMEX on a European sales transaction. After the transfer of its Scandinavian and Baltic activities to Schwenk Group earlier this year, CEMEX is now divesting certain ready-mix concrete and aggregates businesses, as well as certain gravel pits as well as one quarry, all located in the Northern and North-Western part of Germany.
The acquirer of such operations is Günter Papenburg Group, a German competitor domiciled in Hanover and in Halle (Saale) who is now taking over 18 ready-mix plants, 12 gravel pits and one quarry for aggregates, including logistics, from CEMEX. The purchase price is close to €87 million.
The relevant antitrust authorities have already granted cartel clearance so that the sale is expected to be closed soon.
Cemex once again relied on Noerr partners Christoph Spiering and Tibor Fedke and their team as legal transactional advisors in the course of this transaction. These two partners advised CEMEX during an international swap of assets and shareholdings with competitor Holcim in 2014 and the sale of Cemex’ Baltic and Nordic activities to Schwenk earlier this year.
