Noerr advises EMERAM Capital on partial sale of its stake in ]init[ AG
A Noerr team led by Munich-based private equity partner Christoph Thiermann has provided advice to funds advised by EMERAM Capital Partners on the partial sale of their majority stake in ]init[ AG für digitale Kommunikation to funds advised by Gilde Buy Out Partners. The EMERAM funds will retain a minority stake in ]init[ AG in the same proportion as the new shareholder Gilde.
]init[ AG, a Berlin-headquartered digital company, is expanding its shareholder base with the entry of Gilde as a new investor. In addition to EMERAM and Gilde, Dirk Stocksmeier, the founder and chairman of the supervisory board, as well as the firm’s management, also remain shareholders of ]init[ AG.
The aim of the new group of shareholders is to further advance ]init[ AG’s growth. With a workforce of 800, ]init[ AG für digitale Kommunikation is considered one of the leading project service providers in the field of digital transformation.
The transaction is subject to customary conditions, including clearance by the competition authorities. Closing is scheduled to take place in January 2022.
Noerr advised EMERAM on all legal and tax aspects in connection with the transaction. A Noerr team led by Christoph Thiermann previously also advised EMERAM on its acquisition of the majority stake in ]init[ AG für digitale Kommunikation.
