Noerr advises Brookfield on public takeover offer for alstria
Noerr advises Alexandrite Lake Lux Holdings S.à r.l., a company controlled by a real estate private fund of Brookfield Asset Management, on the announced voluntary public takeover offer for alstria office REIT-AG. In this context, Alexandrite Lake Lux Holdings S.à r.l. has signed an Investment Agreement with alstria. The Canadian asset manager Brookfield intends to make an offer of EUR 19.50 per share in cash for all outstanding shares of alstria.
The completion of the takeover will be subject to a minimum acceptance threshold of 50% plus one alstria share (including the shares already owned by Brookfield) and certain further customary conditions.
alstria office REIT AG is a leading German real-estate operator focusing on office property in German markets. As of 30 September 2021, the portfolio comprised 111 buildings with a lettable area of 1.5 million square meters and a total market value of EUR 4.7 billion.
Brookfield instructed the Noerr team led by London based Dr. Thomas Schulz and Sebastian Diehl. Kirkland & Ellis acted as lead advisor to the bidder on the takeover and financing aspects of the transaction.
