Noerr advises Cisalfa Sport S.p.A. on the acquisition of Sport Voswinkel

A team from Noerr led by partners Alexander Hirsch and Maurice Séché has advised Italian company Cisalfa Sport S.p.A. on the acquisition of Sport Voswinkel, based in Germany, from Intersport Deutschland eG. As part of the acquisition, Cisalfa will also become an indirect member of Intersport, alongside an undertaking to enter into a long-term partnership agreement.

Cisalfa Sport is the main Italian sports retailer with over 150 stores in Italy. The acquisition is part of the growth strategy of Cisalfa Sport, which it is pursuing by entering one of the main European sports markets. Founded in 1904, Sport Voswinkel today operates 50 sports stores across Germany under the INTERSPORT Voswinkel brand. All 50 INTERSPORT Voswinkel locations across Germany will be transferred from INTERSPORT Deutschland and continue to keep their current organisational structures. The parties have agreed not to disclose the purchase price at this stage. Closing is expected to take place by the end of 2023.

Given its structure, the transaction involved complex negotiations in a challenging market environment.
